FLAG50 (STACT INC) Terms of Service

1. Services Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you and Stact Inc. ("Stact," "Flag 50," "we," "us," or "our") governing access to and use of the Flag 50 technology platform, including all websites, mobile applications, APIs, software, data feeds, integrations, analytics engines, AI features, hardware integrations (including but not limited to wearable devices), and related online and offline services (collectively, the "Services").

By accessing or using the Services, creating an account, or using the Services on behalf of an Organization, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

If you use the Services on behalf of a league, school, club, tournament operator, or other entity ("Organization"), you represent and warrant that you have authority to bind that Organization.

We may modify these Terms at any time. Continued use after modification constitutes acceptance.

2. Description of Services

Flag 50 provides sports technology infrastructure including league management tools, referee and official scoring systems, play-by-play data capture, athlete profile generation, standings calculation, scheduling automation, messaging systems, live streaming, video clipping, AI-powered analytics, and related data services.

Services may evolve, be modified, or discontinued at our discretion.

3. User Accounts and Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account. You are responsible for maintaining the confidentiality of account credentials and all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content and Data Responsibilities

You are solely responsible for all content submitted, uploaded, streamed, or generated through your account ("User Media"). You represent and warrant that:

You own or have lawful rights to upload User Media.
You have obtained all necessary consents, including parental consent for minors.
Your User Media does not violate any laws or third-party rights.

5. Data Ownership and Intellectual Property Framework

5.1 User Media Ownership

You retain ownership of User Media. However, you grant Stact a worldwide, perpetual, irrevocable, sublicensable, transferable, royalty-free license to host, reproduce, adapt, modify, distribute, publicly display, and create derivative works of User Media solely for purposes of operating, securing, improving, marketing, and developing the Services. This license survives termination.

5.2 Platform Records

"Platform Records" include structured sports data generated within the Services such as scores, play-by-play logs, standings, rankings, schedules, statistical outputs, and metadata. Platform Records are exclusively owned by Stact.

5.3 Service Data, Aggregated Data, and Derived Data

Stact owns all rights to:

Service Data (system logs, performance metrics, diagnostics),
Aggregated or Anonymized Data (de-identified datasets),
Derived Data (analytics, models, AI training datasets, benchmarks, rankings, predictive outputs).

Stact may use and commercialize these datasets provided we do not re-identify individuals except as permitted by law and our Privacy Policy.

5.4 Non-Payment or Termination

If a subscription lapses or an account terminates:

Access to paid features immediately ceases.
Platform Records remain Stact property.
User Media may be exported within 30 days upon written request.
After 30 days, Stact may archive or delete User Media.
Historical Platform Records may remain visible.

6. Paid Services and Billing

Fees are billed in U.S. Dollars. By subscribing, you authorize recurring charges until cancellation. Fees are non-refundable except where required by law.

We may change pricing prospectively.

7. Prohibited Conduct

You agree not to:

Reverse engineer or replicate the Services.
Scrape or harvest data.
Upload malware.
Post defamatory, unlawful, or infringing content.
Use automated bots without consent.
Interfere with system integrity.

8. Third-Party Services

The Services may integrate with third-party providers. We are not responsible for third-party content, terms, or privacy practices.

9. Beta Features

Beta features are provided "as is" and may be discontinued at any time. Participation may require confidentiality.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." STACT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE PRIOR 12 MONTHS OR (B) $100.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Any dispute shall first be subject to good-faith informal resolution. If unresolved, disputes shall be resolved by binding arbitration administered by JAMS in San Diego County, California. No class or representative actions are permitted.

13. Indemnification

You agree to defend and indemnify Stact and its officers, directors, and employees from claims arising out of your User Media, misuse of the Services, or violation of these Terms.

14. Termination

We may suspend or terminate access for violations or legal reasons. Sections concerning data ownership, liability limitations, arbitration, and indemnification survive termination.

15. Miscellaneous

These Terms constitute the entire agreement. If any provision is unenforceable, remaining provisions remain in effect. You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, or sale of assets.
